Terms of Service

1. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms.

2. Use of Services

2.1 Account Registration

Some Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to update it as necessary.

2.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You will not use our Services in any way that violates applicable laws or regulations.

2.3 License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes. This license does not include the right to resell, distribute, or sublicense any content or materials accessed through our Services.

2.4 Restrictions

You may NOT:

• Share, redistribute, resell, or sublicense our content, training materials, or assets
• Share your account credentials or allow others to access Services through your account
• Copy, reproduce, or create derivative works of our proprietary content for distribution
• Use automated tools to scrape, download, or extract content from our Services
• Reverse engineer, decompile, or attempt to extract source code from our applications
• Use our Services in any way that violates applicable laws or regulations
• Interfere with or disrupt the operation of our Services
• Harass, threaten, or harm other users of our Services

3. Intellectual Property

3.1 Our Ownership

All content, materials, training programs, design assets, software, trademarks, and other intellectual property provided through our Services are owned by Patrick Resendiz or our licensors. These Terms do not transfer any ownership rights to you.

3.2 Your Content

You retain ownership of original content you create and post through our Services. By posting content to our community or Services, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating our Services.

3.3 Feedback

If you provide suggestions, feedback, or ideas regarding our Services, you grant us a perpetual, royalty-free license to use such feedback to improve our Services without any obligation to you.

4. Third-Party Platforms

4.1 Platform Dependencies

Some of our Services operate within or integrate with third-party platforms (such as Canva, Circle, or others). Your use of those platforms is subject to their respective terms of service and privacy policies.

4.2 No Endorsement

References to third-party products, services, or brands within our Services do not constitute endorsement by those third parties.

4.3 Availability

We are not responsible for the availability, performance, or functionality of third-party platforms.

4.4 Connected Accounts

Some features let you connect your own account on a third-party platform, such as Canva, to our Services. By connecting an account, you authorize us to take the specific actions you request on that platform on your behalf, such as creating designs in your account. You are responsible for your third-party account and for complying with that platform's terms. You may disconnect at any time, and we may disconnect your linked account when your membership ends.

5. Community Guidelines

When participating in our community, you agree to:

• Treat other members with respect
• Not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Not spam or post unsolicited promotional content
• Not impersonate others or misrepresent your affiliation
• Not share confidential information from paid programs with non-members
• Follow any additional guidelines posted within the community

We reserve the right to remove content and suspend or terminate accounts that violate these guidelines.

6. SMS Communications

6.1 Consent to Receive Messages

By providing your phone number, you consent to receive text messages from Patrick Resendiz at the number you provide. These messages relate to your inquiry, your project, scheduling, follow-ups, and customer care.

6.2 Message Frequency

Message frequency varies based on your interactions with our Services. You may receive messages related to your inquiry, your project, and scheduling.

6.3 Opt-Out

You may opt out of receiving SMS messages at any time by replying STOP to any message. After opting out, you will receive a confirmation message and will no longer receive SMS messages from us unless you opt in again.

6.4 Help

6.5 Costs

Standard message and data rates may apply depending on your mobile carrier and plan. We are not responsible for any charges from your carrier.

6.6 No Sharing of Consent

We do not sell, share, or transfer your phone number or SMS consent to third parties for their marketing purposes.

6.7 Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

7. Payments and Refunds

7.1 Fees

Certain Services require payment of fees. All fees are stated at the time of purchase and are processed by third-party payment providers.

7.2 Subscriptions

Our memberships are subscriptions. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings. When you cancel, your access continues until the end of the billing period you have already paid for, and you will not be charged again.

7.3 Refunds

All membership fees are non-refundable. This includes the current billing period, any unused time, and renewals that have already been charged. Our memberships give you immediate access to digital content and tools, so there is no refund for changing your mind after purchase, unless the law where you live requires one.

Digital products and training content are non-refundable once accessed. Refund terms for design services are in Section 7.4 below.

7.4 Design Services

The following terms apply to remote kitchen, bath, and room design services booked through our website.

Booking. Design services are offered at flat rates by room. Full payment is due at booking. Your booking reserves your place in the design queue, and work is scheduled once we have received your project details.

Project details. Dimensioned floor plans are what we design from. If you do not have them, we will provide a way to scan your rooms. Design timelines begin once we have the project details we need, and delivery estimates shown on our website are estimates, not guarantees.

Revisions. Each project includes a one-hour live revision session and one round of revisions after the initial design, covering cabinetry adjustments, appliance and fixture shifts, and material, color, or hardware swaps. Larger changes, such as a new layout or a different design direction, are a separate project and are priced separately.

Renderings and materials. We design from your inspiration and specifications as closely as possible. Renderings show the look and feel of the space, and the exact materials, finishes, lighting, and appliances you order may vary from what is shown.

Drawings. Our drawings are planning drawings covering the look and the layout. They are not construction, engineering, or fabrication drawings. Before anything is ordered or built, your builder or cabinet maker is responsible for producing final shop drawings and field-verifying every dimension on site.

Ownership and portfolio use. The designs, drawings, and files we create remain our intellectual property, licensed to you for use on your project. We may feature project images in our portfolio and on social media. Your full floor plans are always kept private.

Refunds. Because your booking reserves your place in the queue and we begin work promptly, design service fees are non-refundable once design work has started.

8. Disclaimers

8.1 "As Is" Basis

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Professional Advice

Our Services provide educational content and design tools. They do not constitute professional architectural, engineering, construction, or legal advice. You are responsible for ensuring your work complies with applicable codes, regulations, and professional standards.

8.3 Results Not Guaranteed

We make no guarantees regarding specific results, income, or outcomes from using our Services. Your results depend on your own efforts, skills, and circumstances.

8.4 Availability

We do not guarantee uninterrupted or error-free access to our Services. We may modify, suspend, or discontinue Services at any time without notice.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER
• WE ARE NOT LIABLE FOR ANY DAMAGES RESULTING FROM YOUR RELIANCE ON CONTENT, INFORMATION, OR MATERIALS ACCESSED THROUGH OUR SERVICES

10. Indemnification

You agree to indemnify, defend, and hold harmless Patrick Resendiz and our affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or post through our Services

11. Termination

11.1 By You

You may stop using our Services at any time. To cancel a membership, follow the cancellation process in your account settings or contact us.

11.2 By Us

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

11.3 Effect of Termination

Upon termination:

• Your license to use our Services ends immediately
• You lose access to membership-only content and features
• Design work you created in our tools remains stored as described in our Privacy Policy, and is available to you again if you rejoin
• Provisions that by their nature should survive will continue, including Sections 3, 8, 9, 10, and 12

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at patrick@patrickresendiz.com to attempt to resolve the matter informally.

12.2 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

12.3 Jurisdiction

Any disputes not resolved informally will be resolved in the state or federal courts located in Sangamon County, Illinois, and you consent to the personal jurisdiction of such courts.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our Services.

13.2 Modifications

We may modify these Terms at any time. Material changes will be communicated through our Services or via email. Your continued use after modifications constitutes acceptance of the updated Terms.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

13.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

13.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
